Sole Proprietorship, Partnership, LLC, INC. are all types of business entities. Which one should you choose for your company when you legally create it? Each type has implications on taxation, operations, and what you are personally responsible for if sued.

Business Operating Agreements

Many people believe that their friend and they will live in business bliss forever, but what if it doesn’t? An operating agreement spells out who owns what and how things will be divided should they go south.

Business Contracts and Disputes

Handshake agreements and even verbal agreements can be enforceable. But how much is it going to cost to enforce the agreement? Who will pay for the enforcement of the agreement? Too many times we hear of business owners doing business without a properly written contract that spells out the responsibilities of each party.

Real Estate Contracts and HOA Disputes

The purchase of a home is one of the biggest decisions in most peoples lives. It is extremely important to understand your contract and addendums so that you are aware of your responsibilities during the purchase or sale and during the ownership period with the HOA.

Some matters in Criminal, DUI, Bankruptcy, Estate planning, Personal Injury, VA Benefits, and Workers' Compensation may be referred to an outside attorney

Business Formation

Forming a business is an exciting time and requires many important decisions. One of the most important is the type of business entity you choose to operate under. Entity types range from a sole proprietorship where you personally bear responsibility for any and all occurrences to partnerships where you can divide responsibility between individuals to varying degrees. It is also possible to form a corporation, Inc., in which a new legal entity or “being” is formed.

Entity type will also dictate how you are taxed. LLC’s typically have passthrough taxes and will be entered on your personal taxes where Inc.’s face double taxation. It is extremely important to meet with an attorney and your tax professional in order to assist with making these critical decisions.

Business Operating Agreements

Operating agreements should be in place for any and all businesses. This is the document that spells out ownership percentages, how income will be divided and distributed and how the company will wind down when and if that time comes. It calls for the proper procedures on stock sales and purchases and whom may make financial decisions or bind the company in contract negotiations.

Business Contracts and Disputes

Did you ever notice that corporate contracts tend to be much longer than the two sentence small business contracts you receive? We hear from way too many small business owners regarding customers not paying for their services. Inevitably, the owner wants to get paid (for good reason) and they want the non-paying customer to pay for their legal fees. Many times we learn that the contract was a handshake which definitely did not outline who would be responsible for paying the parties legal fees should a dispute occur. We understand that paying a couple thousand dollars to have contracts and documentation written seems like a lot. However, when over the life of the business, you may be saving tens of thousands of dollars on future legal fees an nonpayments it becomes a small price to pay for peace of mind.

Real Estate Contracts and
HOA Disputes

Purchasing a home is a big ordeal for many people. It is most likely the largest purchase one will ever make in their lifetime. This purchase comes with many possible pitfalls despite ‘caveat emptor’ or ‘buyer beware’ attitudes and laws changing. It is important to know who you are beholden to and the possible rules regulating your property.

HOA documents and covenants can be lengthy and tricky to read. One wouldn’t want to purchase a property in a community hoping to do short term rentals or Airbnb if the minimum rental period is one year. Breaking this rule and continuing to do as such could allow the HOA to impose fines and ultimately take your home.

Case Study: Because legal issues rarely stand their own

Our client owns a pest control/lawn care business. He had applied for a license from the Florida Department of Agriculture for the pest control application.

Due to certain delays, he received fines for operating his business before everything was approved.

We were able to get the fines reduced and to expedite the processing for his licenses, so he could continue to operate without accruing extra fines.

Debunking Attorney Myths

It's too expensive to call an attorney.

At Brandon Legal Group, your initial consultation is free. Personal Injury cases are offered on a contingency fee basis, meaning there are no out-of-pocket expenses unless there is a financial recovery in your favor. In other matters, if you think an attorney representing you is too expensive, imagine living without seeing your children or spending the next ten years in prison…

Having an attorney makes you look guilty.

You may be great at a lot of things, but when is the last time you were lead counsel in a criminal matter? Every individual has a constitutional right to experienced legal counsel no matter the magnitude of the matter. In many instances, the Court may prefer working with experienced Counsel rather than a layman, as all litigating parties will be held to the same legal standard and process.

Lawyers just complicate the process.

Experienced attorneys should foresee pitfalls in your case and reduce the chances of last-second surprises that delay or disrupt the finalization of your legal matter. Attorneys know the process, know the nuances of varying judges' courtrooms, and can provide you with the proper resources to make the best decisions in your matter.

Frequently Asked Questions

Brandon Legal Group FAQ 1

Can you help me form a company under Florida law?

Yes! The kind of permits, licenses, and registrations you will need to operate is dependent about what kind of business you are in. The following are examples of different documents you may need to start and operate your business:

  • Sales Tax License
  • Zoning Permits
  • Sellers Permit
  • Health Department Permits
  • Employer Identification Number (EIN)
Brandon Legal Group FAQ 2

Can you assist me with a lawsuit that has been filed against my company?

Being served with a lawsuit can be a traumatic experience. Calling an attorney immediately will start putting the necessary information in your hands quickly as your response to the suit is time sensitive and requires your full attention.

Find an attorney who is both knowledgeable and makes you feel assured that they will be walking through these experiences together. It helps if they are willing to take the steps to help you learn and possibly provide mitigating steps so that you do not find yourself in this position again.

Legal Questions Answered Brandon Legal Group

Can you review the contracts I have for my customers?

Contracts are a highly important part of your business. They dictate the way in which customers, vendors, and employees interact. The contract should outline what happens if either party fails to fulfill their requirements as stated in the contract.

The number one thing we hear from our potential clients is this: XYZ did not pay for the services rendered and I want to sue them for the money and I want them to pay for my legal fees. Inevitably, the first question from our attorneys will be, “What does the contract say”? It is better to have a document reviewed now than when the fate of a $20,000 contract is dangling in the wind.
