​Business ​​Formation

Forming a business is an exciting time and requires many important decisions.  One of the most important is the type of business entity you choose to operate under.  Entity types are far reaching from a sole proprietorship where you personally bear responsibility for any and all occurrences.  Types of partnerships can divide responsibility between individuals to varying degrees.  It is possible to form a corporation, .INC, in which a new legal entity or being is formed.

Entity type will also dictate how you are taxed.  LLC’s typically have passthrough taxes and will be entered on your personal taxes where .INC corporations face double taxation.  It is extremely important to meet with an attorney and your tax professional in order to assist with making these critical decisions.

Operating agreements should be in place for any and all businesses.  This is the document that spells out ownership percentages, how income will be divided and distributed and how the company will wind down when and if that time comes.  It calls for the proper procedures on stock sales and purchases and whom may make financial decisions or bind the company in contract negotiations.

Inevitably, the owner wants to get paid (for good reason) and they want the non-paying customer to pay for their legal fees.  Many times we learn that the contract was a handshake which definitely did not outline who would be responsible for paying the parties legal fees should a dispute occur. We understand that paying a couple thousand dollars to have contracts and documentation written seems like a lot.  But when you think about it over the life of the business, how many tens of thousands of dollars can this small initial investment save you?

Purchasing a home is a big ordeal for many people.  It is most likely the largest purchase one will ever make in their lifetime.  This purchase comes with many possible pitfalls despite ‘caveat emptor’ or ‘buyer beware’ attitudes and laws changing.  It is important to know who you are beholden to and the possible rules regulating your property. HOA documents and covenants can be lengthy and tricky to read.  One wouldn’t want to purchase a property in a community hoping to do short term rentals or Airbnb if the minimum rental period is one year. Breaking this rule and continuing to do as such could allow the HOA to impose fines and ultimately take your home.

In 2008 after gaining years of experience under the watchful eyes of her predecessors, Ms. Hooglander opened her own private practice that has grown into what Brandon Legal Group is today.

Her weight lifting and Kick Boxing training contribute to a reputation as a "force of nature" in both her personal life and her presence in the court room.

Luke Mattson Brandon Attorney

Mr. Mattson found his niche in family law and has focused his practice in that area since 2000. In particular, Luke often handles matters involving divorce, timesharing, parenting plans, child support, alimony, paternity, and civil domestic violence.

Mr. Mattson might look like he’s all business, but you'd be surprised to discover the incredible fun loving attitude he brings to the practice.  When outside the courtroom, Mr. Mattson can often be found watching Lightning games or riding his bike around downtown Tampa.

Can you review the contracts I have for my customers?

Contracts are a highly important part of your business. They dictate the way in which customers, vendors, and employees interact. The contract should outline what happens if either party fails to fulfill their requirements as stated in the contract.

The number one thing we hear from our potential clients is this: XYZ did not pay for the services rendered and I want to sue them for the money and I want them to pay for my legal fees. Inevitably, the first question from our attorneys will be, “What does the contract say”? It is better to have them reviewed now than when the fate of a $20,000 contract is dangling in the wind.
